These Terms of Service ("Terms") govern your access to and use of SideBizAI ("the Service"), provided by SideBizAI LLC, a Florida limited liability company ("SideBizAI", "we", "us", or "our").

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent that:

• You are at least 16 years old
• You have the legal authority to enter into these Terms
• You will use the Service in compliance with all applicable laws

2. Your Account

2.1 Account Registration

• Provide accurate, current information
• Keep your login credentials confidential
• Notify us immediately of any unauthorized access
• Be responsible for all activity under your account

2.2 Account Suspension or Termination

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or fail to pay subscription fees.

3. Subscriptions and Payments

3.1 Subscription Plans

• Trial: A 7-day paid trial for $4.99
• Starter: $44.99/month (or annual equivalent)
• Pro: $69.99/month (or annual equivalent)
• Studio: $139.99/month (or annual equivalent)
• Add-on Packs: Standard Video, Clone Video, Animated Clip, Extra Clone Slot

3.2 Billing

• Fees billed in advance monthly or annually
• $4.99 trial converts to Starter after 7 days unless canceled
• All fees non-refundable except as required by law
• Payments processed via Stripe

3.3 No Refunds Policy

ALL SALES ARE FINAL. Subscription fees, trial fees, add-on pack purchases, and clone slot purchases are non-refundable. This includes:

• Partial months when you cancel mid-cycle (you keep access until end of billing period)
• Unused credits from add-on packs
• The $4.99 trial fee (but it credits toward your first Starter charge)

You may cancel at any time through your account settings or Stripe's portal.

3.4 Price Changes

We may change prices with 30 days' advance notice for existing subscribers.

3.5 Taxes

You are responsible for any sales, use, or value-added taxes applicable to your purchase.

4. The Service

4.1 What We Provide

AI-powered tools for entrepreneurs: business research, blueprints, scripts, captions, marketing copy, AI-generated images, AI avatar videos, animated clips, business documents, and related features.

4.2 Service Limits

Your subscription tier and pack purchases determine usage volume. Limits described on the Pricing page.

4.3 No Guarantee of Outputs

We do not guarantee that any AI output will be:

• Accurate, complete, or current
• Suitable for your specific purpose
• Free of errors, bias, or unexpected content
• Compliant with any specific industry standards

You are solely responsible for reviewing, editing, and verifying all AI-generated content before using it.

4.4 Third-Party Services

We use third-party AI providers (Anthropic, HeyGen). We are not responsible for their outages or errors.

5. User Content and Conduct

5.1 Your Content

You retain ownership of content you submit. By submitting, you grant SideBizAI a worldwide, non-exclusive, royalty-free license to use Your Content to operate the Service, process it through our AI agents, and back it up.

5.2 Generated Content

You own AI outputs produced for you. You may use them for any lawful purpose, including commercial use.

5.3 Our Rights to Use Anonymized and Generated Content

By using the Service, you grant SideBizAI a perpetual, worldwide, royalty-free license to:

• Use anonymized, aggregated data to improve the Service
• Display Generated Content as examples in marketing (with your prior consent for personally identifying use)
• Use anonymized Generated Content to improve our prompts (we do NOT submit your content to third-party AI for model training without your explicit consent)

5.4 Prohibited Content

You may not submit or generate content that:

• Violates any law or regulation
• Infringes on intellectual property rights of others
• Contains malware, spam, or fraudulent content
• Depicts illegal activity, child sexual abuse material, or non-consensual intimate imagery
• Promotes hate speech, violence, or discrimination
• Impersonates another person or entity
• Contains personally identifiable information of third parties without consent
• Generates misleading deepfakes or election misinformation

5.5 Prohibited Conduct

• Reverse engineering, decompiling, or extracting source code
• Using bots, scrapers, or automated systems
• Reselling access without our written authorization
• Using the Service to compete with us or build a competing product
• Bypassing rate limits or security measures
• Harassing, abusing, or harming others
• Submitting other people's writing as your own to train a Brand Voice Twin

5.6 Enforcement

We may remove content or suspend accounts that violate these Terms, without prior notice. Repeated violations may result in permanent termination.

6. Intellectual Property

6.1 Our IP

The Service's software, interface, designs, logos, and materials (excluding Your Content and Generated Content) are owned by SideBizAI or its licensors.

6.2 Feedback

If you provide suggestions or feedback, you grant SideBizAI a perpetual, royalty-free license to use it.

7. Privacy

Your use is also governed by our Privacy Policy.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• AI-generated content will be accurate, original, or suitable for any purpose
• The Service will meet your specific requirements or expectations
• Any errors or defects will be corrected

You use the Service at your own risk.

9. Limitation of Liability

To the fullest extent permitted by law, SideBizAI shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from your use of AI-generated content
• Damages from service interruptions, errors, or third-party outages

Our total liability shall not exceed the greater of $100 or the amount you paid SideBizAI in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify SideBizAI from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, violation of any law or third-party right, or your content.

11. Termination

You may terminate your account at any time through your settings or by contacting privacy@sidebizai.com.

We may terminate your account if you:

• Violate these Terms
• Engage in fraudulent activity or abuse
• Fail to pay subscription fees

Upon termination, you are not entitled to refunds. Sections 5.3, 6, 8, 9, 10, 13, 14, and 15 survive.

12. Changes to These Terms

We may update these Terms. Continued use after changes constitutes acceptance. For material changes, we will notify you via email or in-platform.

13. Governing Law

These Terms are governed by Florida law. Disputes not subject to arbitration shall be brought exclusively in state or federal courts located in Florida.

14. Binding Arbitration and Class Action Waiver

14.1 Agreement to Arbitrate

You and SideBizAI agree that any dispute arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration, except as provided below.

14.2 Class Action Waiver

You and SideBizAI agree to resolve disputes only on an individual basis, not as a class, collective, representative, or private attorney general action.

14.3 Arbitration Procedure

Arbitration shall be administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration shall take place in the Florida county where SideBizAI's principal office is located, or remotely by your option.

14.4 Exceptions

Either party may bring claims in small claims court within its jurisdiction, or seek injunctive relief for intellectual property infringement.

14.5 Opt-Out

You may opt out of this arbitration agreement by sending written notice to privacy@sidebizai.com within 30 days of first accepting these Terms.

15. Miscellaneous

• Entire Agreement: These Terms and our Privacy Policy are the entire agreement.
• Assignment: You may not assign your rights without our consent. We may assign freely.
• Waiver: Failure to enforce a provision is not a waiver of that provision.
• Severability: Invalid provisions don't affect the rest.
• Notices: Send notices to privacy@sidebizai.com.
• Force Majeure: Neither party liable for failure due to events beyond reasonable control.
